PlayToEarn Affiliate Program Terms

1. Relationship to Other Terms
   1. These Affiliate Terms apply exclusively to the PlayToEarn Affiliate Program.
   2. Your use of the PlayToEarn platform remains governed by the general PlayToEarn Terms of Service available at https://playtoearn.com/terms (“General Terms”).
   3. In the event of any conflict or inconsistency between these Affiliate Terms and the General Terms, these Affiliate Terms shall prevail solely with respect to the Program.
2. Definitions

   For the purposes of these Affiliate Terms:

   “Affiliate” means any individual or legal entity participating in the Program through a PlayToEarn account.

   “Affiliate Account” means the affiliate functionality associated with a user’s PlayToEarn account.

   “Affiliate Link” means a unique referral link, code, or identifier provided by PlayToEarn.

   “Qualified Subscription” means a PlayToEarn Plus subscription that is:

   initiated through a valid Affiliate Link,
   successfully paid,
   not refunded, reversed, charged back, cancelled, or otherwise invalidated.

   “Earnings” means affiliate commissions credited to an Affiliate Account.

   “Fraudulent Activity” includes any deceptive, misleading, manipulative, abusive, unlawful, or unauthorized conduct, whether intentional or not.

3. Eligibility and Enrollment
   1. Participation in the Program is open to registered PlayToEarn users, subject to these Affiliate Terms.
   2. All users are automatically enrolled as Tier 1 Affiliates, unless restricted by PlayToEarn.
   3. Advancement to higher tiers may be subject to additional criteria, approvals, contractual arrangements, or invitations at PlayToEarn’s sole discretion.
   4. PlayToEarn may refuse, restrict, suspend, or terminate any Affiliate’s participation at any time, with or without prior notice.
4. Independent Relationship
   1. Nothing in these Affiliate Terms creates a partnership, joint venture, agency, fiduciary, employment, or franchise relationship.
   2. Affiliates act solely as independent participants and have no authority to bind or represent PlayToEarn.
5. Earnings, No Entitlement, and No Guarantee
   1. Earnings are calculated solely based on Qualified Subscriptions.
   2. Earnings do not constitute wages, salary, income, dividends, profit-sharing, investment returns, or any guaranteed compensation.
   3. Participation in the Program does not create any vested right, entitlement, or expectation of future Earnings.
   4. PlayToEarn may modify commission rates, tier structures, calculation methodologies, or payout mechanics at any time, including retroactively where required for fraud prevention, error correction, or legal compliance.
   5. The Program may be suspended, modified, or discontinued at any time without liability.
6. Attribution, Tracking, and System Limitations
   1. Affiliate attribution relies on technical systems including cookies, identifiers, account records, and blockchain-based data.
   2. PlayToEarn does not guarantee uninterrupted, error-free, or accurate tracking.
   3. Affiliates acknowledge that tracking may be affected by browser settings, device changes, ad blockers, network issues, or technical failures.
   4. All attribution determinations made by PlayToEarn are final and binding.
7. Lifetime Earnings and Re-Subscriptions
   1. Subject to compliance with these Affiliate Terms, Affiliates may earn on subscription renewals attributed to their Affiliate Link.
   2. PlayToEarn reserves the right to define, adjust, or revoke lifetime attribution rules at its sole discretion.
   3. No lifetime attribution constitutes a contractual guarantee.
8. Prohibited Conduct

   Affiliates must not, directly or indirectly:

   engage in self-referrals or circular referrals;
   create fake, duplicate, or automated accounts;
   use bots, scripts, click-farms, or artificial traffic;
   misrepresent PlayToEarn, Plus subscriptions, pricing, or benefits;
   engage in spam, deceptive advertising, or unlawful promotion;
   manipulate or attempt to manipulate tracking or payout systems;
   violate applicable laws, regulations, or platform policies.

9. Fraud, Abuse, Withholding, and Clawback
   1. If PlayToEarn determines, in its sole discretion, that Earnings are associated with actual or suspected Fraudulent Activity, PlayToEarn may:

   withhold or delay payments,
   reverse or forfeit credited Earnings,
   recover previously paid amounts (“Clawback”),
   offset amounts against future Earnings,
   suspend or permanently terminate Affiliate participation.

   2. PlayToEarn is not required to disclose investigative methods, thresholds, algorithms, or internal processes used to detect Fraudulent Activity.
   3. A reasonable suspicion standard applies; PlayToEarn is not required to prove fraud beyond doubt.
   4. Affiliates waive any right to contest such determinations, except where prohibited by law.
10. Payments and Withdrawals
    1. Earnings are credited to the Affiliate Account balance.
    2. Withdrawals are processed in supported cryptocurrencies only.
    3. Affiliates are solely responsible for:

    blockchain network fees,
    wallet compatibility,
    transaction signing,
    security of private keys,
    compliance with tax and reporting obligation

    4. PlayToEarn may impose minimum withdrawal thresholds, delays, additional verification requirements, or manual reviews.
11. Taxes
    1. Affiliates are solely responsible for all taxes, duties, levies, or governmental charges arising from Earnings.
    2. PlayToEarn does not provide tax advice and does not withhold taxes unless legally required.
12. Intellectual Property
    1. All trademarks, logos, software, and content remain the exclusive property of PlayToEarn.
    2. Affiliates receive a limited, revocable, non-exclusive license to use approved materials solely for participation in the Program.
    3. This license may be revoked at any time without notice.
13. Disclaimer of Warranties

    The Program is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

14. Limitation of Liability

    To the maximum extent permitted by law:
    PlayToEarn shall not be liable for indirect, incidental, special, consequential, or punitive damages;
    total liability shall not exceed the amount of Earnings actually paid to the Affiliate in the preceding twelve (12) months.

15. Indemnification

    Affiliates agree to indemnify, defend, and hold harmless PlayToEarn from any claims, damages, losses, liabilities, costs, or expenses arising from:
    breach of these Affiliate Terms,
    Fraudulent Activity,
    violation of applicable laws or third-party rights.

16. Suspension and Termination
    1. PlayToEarn may suspend or terminate the Program or any Affiliate at any time, with or without cause.
    2. Upon termination, unpaid Earnings may be forfeited where Fraudulent Activity or violations are involved.
17. Amendments
    1. PlayToEarn may modify these Affiliate Terms at any time.
    2. Continued participation constitutes acceptance of the updated terms.
18. Governing Law and Jurisdiction

    These Affiliate Terms are governed by the laws of Singapore, without regard to conflict-of-law principles.
    All disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

19. Entire Agreement

    These Affiliate Terms constitute the entire agreement between the Affiliate and PlayToEarn regarding the Program and supersede all prior agreements.
